Whereas by 4 indentures of 11 August 1853, 30 August 1853, 10 April 1867 and 27 May 1869, the respective 1/4 shares of John Fielder, Thomas King, and Richard Hewlwtt and a half part of the 1/4 share formerly of James Broom (making 14/16 of the whole) of and in premises as in the 1st part of the First Schedule hereto, became vested in Richard Stothert.
Whereas seven of the fourteen 1/16 shares were purchased by Richard Stothert with monies belonging to Charles Pickwick Carpenter.
Whereas Richard Stothert died on 25 March 1879 without having executed an assignment of the 7/16 shares to the said Charles Pickwick Carpenter or to any other person. And by his will of 14 January 1878 devised the residue of his estate to Thomas Frederick Inman and Henry Batchellor Inman upon trust to pay certain annuities, and subject to those annuities, all his shares in the company known as the St. James' Square Company unto his Nephew William Edensor Littlewood. Appointing Thomas Frederick Inman and Henry Batchellor Inman as executors thereof.
Whereas Charles Pickwick Carpenter is now entitled to the 7/16 shares as aforesaid, Charles Pickwick carpenter has agreed with William Edensor Littlewood for the absolute sale to him of the same at the price of £550.

7/16 shares of the premises known as 1-8 Marlborough Street; 1-15, 19-20, 22-24, 38 St. James' Square; 1-9, 42 Park Street; 1-4 St. James' Street; and 6 St. James' Place, to Charles Pickwick Carpenter from 1.

7/16 shares in the same to William Edensor Littlewood.
